CRYPTO HEARTS LLC TERMS OF SERVICE
Last Updated: August 29, 2026
Effective Date: August 29, 2026
PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING HEART.FI, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL APPLICABLE LAWS AND REGULATIONS.
IMPORTANT NOTICES:
- SECTION 17 CONTAINS A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER, which affects your legal rights.
- HEART.FI WALLETS ARE CUSTODIAL. Your balances are held by our regulated custody partner, not by you and not in a wallet you control. See Section 4.
- IDENTITY VERIFICATION IS REQUIRED before you can hold a balance, receive donations, or move funds. See Section 5.
- BLOCKCHAIN TRANSACTIONS ARE IRREVERSIBLE. Funds sent to an incorrect address cannot be recovered.
- YOUR BALANCES ARE NOT INSURED by the FDIC, SIPC, or any other deposit insurance scheme. See Section 12.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Crypto Hearts LLC, a Wyoming limited liability company doing business as Heart.Fi ("Heart.Fi," "we," "us," or "our"). These Terms govern your access to and use of the Heart.Fi platform located at heart.fi and our mobile applications, including all features, content, and services (collectively, the "Platform").
These Terms incorporate by reference our Privacy Policy, Acceptable Use Policy, Risk Disclosure Statement, and Cookie Policy.
By creating an account, verifying your identity, or otherwise using the Platform, you represent that:
- You are at least 18 years of age (or the age of majority in your jurisdiction)
- You have the legal capacity to enter into binding contracts
- You are acting on your own behalf and not for an undisclosed third party
- You are not located in, or a citizen or resident of, any jurisdiction where use of the Platform would be prohibited
- You are not on any U.S. or international sanctions list, and are not owned or controlled by any person who is
- The information you provide to us and to our verification and custody partners is accurate, current, and complete
If you do not agree to these Terms, do not access or use the Platform.
Acceptance of updated terms. We record the version of these Terms you accepted and the date of acceptance. When we make material changes, we may require you to review and accept the updated Terms before you can continue to use features that depend on them (see Section 20).
Heart.Fi is a donation platform built on custodial stablecoin accounts. Our services include:
- Custodial Wallets: On completing identity verification, we provision stablecoin wallets for you that are held and operated by our regulated custody partner (see Section 4). Supported networks currently include Base, Ethereum, Solana, Tempo, and Tron.
- Donations: Send donations to campaigns and to other users, funded from your Heart.Fi balance or from an external wallet you connect.
- Campaign Deposit Addresses: For each campaign we provision per-network deposit addresses. Funds sent to a campaign deposit address are automatically converted and routed to the campaign creator's Heart.Fi wallet, less any disclosed fee (see Section 9).
- Fiat Deposits: Where available for your jurisdiction, we provision a virtual account (for example ACH and wire details for USD, an IBAN for EUR, or a CLABE for MXN) into which you can deposit local currency. Deposits are converted to a stablecoin and credited to your Heart.Fi wallet.
- Fiat Withdrawals: Where available, you may link an external bank account and withdraw your balance to it in local currency.
- Conversion: Convert between supported stablecoins and supported networks within the Platform.
- Campaigns and Profiles: Create, publish, and manage fundraising campaigns and a public profile.
- Transaction History: View your donation and transfer history.
PLATFORM ROLE. Heart.Fi operates the interface, the campaign and profile layer, and the compliance workflow. Custody of your funds, the movement of fiat, and the regulated activity of exchanging fiat for stablecoins are performed by our custody partner and its licensed affiliates, not by Crypto Hearts LLC. We are not a bank, a money services business, a money transmitter, a broker-dealer, an investment adviser, or a charity.
We do not:
- Take custody of assets held in an external wallet you connect
- Control or operate any blockchain network
- Guarantee transaction success, timing, or the availability of any network
- Provide financial, investment, legal, or tax advice
- Verify the charitable status, legitimacy, or truthfulness of any campaign or recipient
- Determine whether any donation is tax-deductible
Availability. Features described in these Terms may be unavailable in your jurisdiction, unavailable to you based on the outcome of identity verification, or withdrawn at any time. Non-custodial and self-custody wallet creation is not currently offered on the Platform.
Account Creation. To use the Platform you must create an account and provide accurate and complete information, including a valid email address. You agree to keep your information current. You may not create an account on behalf of another person without authorization, maintain more than one account without our consent, or transfer your account to anyone else.
Account Security. You are solely responsible for:
- Maintaining the confidentiality of your account credentials and any second factor
- All activity that occurs under your account
- Keeping your registered email address and recovery methods under your control
- Immediately notifying us of unauthorized access at info@heart.fi
Recovery. Because Heart.Fi wallets are custodial, losing access to your credentials does not by itself mean losing your funds — we can restore access to your account after verifying your identity. This is different from a self-custody wallet, where lost keys mean permanently lost funds. It also means your access depends on successfully re-verifying your identity to our and our custody partner's satisfaction.
Inactive accounts. We may treat an account as inactive after a prolonged period without a login or transaction, and may be required to escheat or otherwise handle a remaining balance in accordance with applicable unclaimed property law after notifying you at your registered email address.
Your Heart.Fi balance is custodial. When you complete identity verification, we instruct our custody partner — Bridge, together with its licensed affiliates ("Custody Partner") — to open stablecoin wallets for you on the supported networks. Those wallets are created, controlled, and operated by the Custody Partner.
WHAT THIS MEANS:
- You do not hold the private keys. No private key, seed phrase, or recovery phrase is ever issued to you for a Heart.Fi wallet, and none can be exported.
- Your funds are held by the Custody Partner, not by Crypto Hearts LLC and not in an account you control directly.
- You have a contractual claim, not on-chain control. Your balance represents an entitlement against the Custody Partner, enforced through your Heart.Fi account.
- Transactions are executed on your instruction by the Custody Partner. We transmit your instruction; we do not sign on your behalf with keys you own.
- Your funds may be frozen or seized. Balances can be frozen, held, reversed, or turned over pursuant to legal process, sanctions obligations, suspected fraud, or the Custody Partner's own compliance decisions — with or without prior notice to you where the law requires or permits.
- You are exposed to the Custody Partner's solvency and performance. See the Risk Disclosure Statement.
Custody Partner terms. Use of custodial wallets, fiat deposits, and fiat withdrawals is additionally subject to the Custody Partner's own user terms and privacy policy, which are presented to you during verification and which you must accept. Where the Custody Partner's terms conflict with these Terms in relation to custody, fiat movement, or exchange, the Custody Partner's terms govern that activity. We are not responsible for the Custody Partner's acts or omissions except to the extent required by law.
Change of partner. We may change, add, or remove custody partners. We will give you reasonable notice and, where a change requires it, ask you to complete verification again with the new partner.
Connected external wallets. You may connect an external self-custody wallet in order to send a donation from it. When you do:
- You retain complete control of that wallet's keys and assets
- We never have access to its private keys or seed phrase
- We cannot move, freeze, or recover assets in it, and cannot reverse a transaction you initiate from it
- We are not responsible for the security or functionality of that wallet's software
No interest, no yield. We do not pay interest or any other return on your balance. We do not lend, rehypothecate, or invest your balance for our own account, and we require our Custody Partner to hold customer funds segregated from its own operating funds in accordance with its regulatory obligations.
Verification is mandatory. Before you can hold a balance, receive donations into a Heart.Fi wallet, deposit or withdraw fiat, or create a campaign that accepts funds, you must complete identity verification ("KYC") and, for organizations, business verification ("KYB"). Browsing the Platform does not require verification.
What we collect and who processes it. Verification is performed by our identity verification provider (currently Didit) and by our Custody Partner. Depending on your jurisdiction and risk profile you may be asked for:
- Full legal name, date of birth, and nationality
- Residential address and proof of address
- A government-issued identity document and a selfie or liveness check
- Tax identification number or national identifier
- Phone number and email address
- Source of funds or source of wealth information
- For organizations: formation documents, beneficial ownership, and officer details
You authorize us to share this information with our identity verification provider, our Custody Partner, and their respective processors for the purpose of verifying you and meeting legal obligations. See the Privacy Policy for how this data is handled and retained.
Ongoing obligations. You agree that we and our partners may, at any time and as often as we consider necessary:
- Re-verify your identity, including on a periodic schedule
- Screen you and your counterparties against sanctions, politically exposed person, and adverse media lists
- Monitor transactions for suspicious activity and request additional information or documentation
- Report suspicious activity to the relevant authorities without notifying you, where the law requires
Consequences. If you decline verification, fail it, or fail to supply requested information within a reasonable time, we may refuse to open custodial wallets, limit or suspend your account, decline or reverse a transaction, or terminate your account under Section 19. Where lawful and operationally possible, we will allow you to withdraw an existing balance to a bank account or external wallet in your own name before closing the account.
Restricted persons and jurisdictions. You may not use the Platform if you are subject to sanctions administered by OFAC, the UN, the EU, or the UK; if you are located in or ordinarily resident in a comprehensively sanctioned jurisdiction; or if you appear on a prohibited persons list. Available features and supported currencies vary by jurisdiction and may change without notice.
Transaction Irreversibility. YOU ACKNOWLEDGE AND AGREE THAT BLOCKCHAIN TRANSACTIONS ARE IRREVERSIBLE. Once a transaction is broadcast and confirmed, it cannot be reversed, cancelled, or modified by anyone, including Heart.Fi and the Custody Partner. Sending funds to an incorrect address, on the wrong network, or in an unsupported asset results in permanent, unrecoverable loss.
Instructions are final. When you confirm a transfer, donation, conversion, or withdrawal, you authorize us to instruct the Custody Partner to execute it. Once submitted, an instruction cannot be recalled. Check the recipient, network, asset, and amount before confirming.
Supported assets and networks. The Platform supports specific stablecoins on specific networks. Assets sent to a Heart.Fi address on an unsupported network, or in an unsupported token, may be permanently lost and we have no obligation to recover them.
Network Fees. Blockchain transactions require network fees paid to validators. You acknowledge that:
- Network fees vary with congestion and may change sharply
- Network fees are separate from Platform fees
- We do not set or receive network fees
- Failed transactions may still consume network fees
Processing and Delay.
- Transactions are not complete until confirmed by the relevant network
- Confirmation times vary by network and congestion
- Compliance review, verification requests, or partner outages may delay a transaction
- We do not guarantee transaction timing or success
Limits. We and our Custody Partner may impose and change transaction, balance, velocity, and withdrawal limits based on your verification level, jurisdiction, and risk profile.
Errors. If funds are credited to your account in error, we may reverse the entry or debit your balance to correct it. You agree to promptly return funds credited to you in error and not to treat them as yours.
Where available in your jurisdiction, the Platform offers fiat rails operated by our Custody Partner and its licensed affiliates and banking partners.
Virtual accounts (deposits). We may provision a virtual account in your name — for example ACH and wire details for USD, an IBAN for EUR, or a CLABE for MXN. Funds you deposit are received by the Custody Partner's banking partner, converted to a supported stablecoin at the rate then applicable, and credited to your Heart.Fi wallet.
- A virtual account is not a bank account held by Heart.Fi, and Crypto Hearts LLC is not a bank.
- Deposits are not FDIC-insured. Any pass-through deposit insurance that may apply at a banking partner protects against the failure of that bank only, is subject to that bank's conditions, and does not protect against the failure of the Custody Partner, against a stablecoin losing its peg, or against loss of your Heart.Fi balance.
- You must deposit only from an account held in your own name. Third-party deposits may be rejected or returned, and may trigger compliance review.
External accounts (withdrawals). You may link an external bank account in your own name and withdraw your balance to it. Withdrawals are subject to verification, limits, banking-partner cut-off times, and settlement periods outside our control. Incorrect bank details you provide may result in a failed, delayed, or misdirected payment, and recovery may not be possible.
Conversion and rates. Conversions between fiat and stablecoins, and between supported stablecoins, are executed at the rate quoted at the time of the transaction, which includes a spread. Rates shown elsewhere in the Platform are indicative only. The rate applied at execution is the rate that governs.
Returns and reversals. A deposit may be returned by a bank or payment network after it has been credited to you (for example an ACH return or a recall). You authorize us to debit your balance for the returned amount and any associated cost. If your balance is insufficient, you owe us the shortfall.
Nature of donations. Heart.Fi displays campaigns and enables you to send funds to them. Donations are made to the campaign creator, not to Heart.Fi. We do not hold donations on trust for any charitable purpose, do not administer any charitable fund, and do not control how a recipient uses the funds they receive.
Campaign deposit addresses. For each campaign we provision per-network deposit addresses through our Custody Partner. Funds sent to those addresses are automatically converted and forwarded to the campaign creator's Heart.Fi wallet, less any fee disclosed under Section 9. Sending to a campaign deposit address on an unsupported network, or in an unsupported asset, may result in permanent loss.
No endorsement or verification of purpose. Verification confirms a campaign creator's identity. It does not verify that a campaign's story is true, that funds will be used as described, that a stated beneficiary exists or consents, or that any organization holds charitable status. Listing does not constitute endorsement, verification, or recommendation. You are responsible for your own due diligence before donating.
Donations are final. Once a donation is confirmed it cannot be reversed or refunded by us. If you believe a campaign is fraudulent, report it through the Platform; we may act under our Acceptable Use Policy, but we cannot recover funds already delivered to a recipient.
Campaign creator obligations. If you create a campaign you represent that the information you publish is accurate and not misleading, that you are authorized to fundraise for the stated purpose and any named beneficiary, that you will use funds substantially as described, and that your campaign complies with all laws applicable to you, including charitable solicitation, consumer protection, and tax laws.
TAX DISCLOSURE. Donations to individuals through the Platform are generally NOT tax-deductible. Only donations to organizations that independently qualify under applicable law may be deductible. We do not issue tax receipts or charitable donation documentation. You are solely responsible for determining the tax treatment of your transactions, keeping your own records, reporting income you receive, and consulting a qualified tax professional. We may be required to report information about you or your transactions to tax authorities.
Platform fees. We may charge a fee on donations, transfers, conversions, deposits, and withdrawals. Where a fee applies it is disclosed to you before you confirm the transaction, and may be deducted from the amount transferred rather than charged separately. We may change our fees with reasonable notice; the fee disclosed at the time of a transaction is the fee that applies to it.
Conversion spread. Fiat and stablecoin conversions carry a spread built into the quoted rate. That spread is a cost to you in addition to any stated fee.
Third-party costs. You are also responsible for:
- Blockchain network fees
- Fees charged by our Custody Partner or its banking partners, including for returns, recalls, and wire transfers
- Fees charged by your own bank or wallet provider
- Any tax or levy imposed on a transaction
Non-payment. If a fee or a reversed amount cannot be collected from your balance, you owe it to us as a debt and we may set it off against any later credit to your account.
Your use of the Platform is governed by these Terms and by our Acceptable Use Policy. Without limiting that policy, you agree NOT to use the Platform for:
Illegal Activities:
- Money laundering, terrorist financing, or proliferation financing
- Fraud, scams, deceptive fundraising, or misrepresenting a campaign's purpose or beneficiary
- Transactions involving proceeds of criminal activity
- Purchase or sale of illegal goods or services
- Tax evasion, or structuring transactions to avoid reporting or verification thresholds
Sanctions and jurisdictional violations:
- Transactions involving persons or entities on OFAC's Specially Designated Nationals (SDN) List or any equivalent UN, EU, or UK list
- Transactions involving comprehensively sanctioned jurisdictions
- Using a VPN, proxy, false location, false identity, or another person's documents to circumvent geographic restrictions, verification, or sanctions screening
Regulated and prohibited financial activity:
- Operating a money services business, exchange, payment processor, or remittance service through your account, or transacting on behalf of undisclosed third parties
- Using your account as a pass-through to move funds for someone else, including layering or nesting
- Offering securities, soliciting investment, promising financial returns, or characterizing donations as an investment
- Gambling, lotteries, prize draws, or games of chance
- Accepting or making payments for goods and services in a way designed to avoid chargeback or consumer protection rules
- Multi-level marketing, pyramid, or Ponzi arrangements
Platform abuse:
- Creating multiple accounts, or creating an account after termination, without our consent
- Interfering with Platform operations, integrity, or security
- Attempting to gain unauthorized access to any account, system, or data
- Using bots, scrapers, or other automated systems without authorization
- Reverse engineering, or copying Platform functionality
Harmful content:
- Impersonation or misrepresentation of a person, organization, or beneficiary
- Harassment, abuse, threats, or exploitation
- Intellectual property infringement
- Distribution of malware or harmful code
YOU ACKNOWLEDGE AND ACCEPT THE FOLLOWING RISKS. This is a summary; the full Risk Disclosure Statement forms part of these Terms.
Custodial risk: Your balance is held by the Custody Partner. If the Custody Partner or one of its banking partners becomes insolvent, is placed into administration, suffers a security breach, loses its licences, freezes accounts, or ceases to serve your jurisdiction, your funds may be delayed, reduced, or lost. You may rank as an unsecured creditor.
Stablecoin risk: Stablecoins are not legal tender and are not guaranteed. An issuer may fail to maintain its peg, may freeze or blacklist an address holding your funds, may redeem only through channels unavailable to you, or may fail entirely.
Volatility risk: Asset values can fluctuate significantly, including against your local currency.
Loss risk: You may lose some or all of your funds through sending to an incorrect address, sending on an unsupported network, security breaches, smart contract vulnerabilities, network failures or attacks, or your own error.
Regulatory risk: Rules governing stablecoins, custody, and cross-border transfers are evolving and vary by jurisdiction. Changes could restrict, tax, delay, or prohibit your use of the Platform or the Custody Partner's ability to serve you.
Technology risk: Blockchains, bridges, smart contracts, and the software of the Platform and its partners may contain bugs or vulnerabilities that result in loss of funds or interruption of service.
Third-party risk: We depend on third parties — the Custody Partner, banking partners, identity verification providers, blockchain infrastructure providers — that may suffer outages or security incidents, or may discontinue service.
No insurance: Balances held through the Platform are NOT insured by the Federal Deposit Insurance Corporation (FDIC), the Securities Investor Protection Corporation (SIPC), or any other governmental or private insurance scheme, except to the limited extent described in Section 7 for fiat held at a banking partner.
Fork and protocol risk: Networks may undergo upgrades, forks, or other changes affecting your assets. We do not guarantee support for forked or airdropped assets.
Donation risk: You may donate to a campaign that is fraudulent, abandoned, or that does not use funds as described. Donations are final.
Our intellectual property. The Platform, including all content, features, functionality, software, and trademarks, is owned by Crypto Hearts LLC or its licensors and is protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for personal, non-commercial purposes.
Your content. You retain ownership of content you upload, such as campaign text, images, and profile pictures. By uploading content you grant us a worldwide, royalty-free, sublicensable licence to host, use, reproduce, display, and distribute that content in connection with operating and promoting the Platform. You represent that you have the rights necessary to grant this licence and that your content does not infringe the rights of others.
Feedback. If you send us suggestions or feedback, we may use them without restriction or obligation to you.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties arising from course of dealing or usage of trade
- Warranties that the Platform will be uninterrupted, error-free, or secure
- Warranties regarding the accuracy, reliability, or completeness of any information, including campaign content and displayed balances or rates
WE DO NOT WARRANT THAT:
- The Platform will meet your requirements
- Transactions will be successful, timely, or available in your jurisdiction
- Any errors will be corrected
- The Platform will be available at all times
- Any campaign is legitimate, or that any recipient will use funds as described
- Any third-party service, including the Custody Partner, any banking partner, any stablecoin issuer, or any blockchain network, will perform as expected
NO FIDUCIARY RELATIONSHIP. Nothing in these Terms creates a fiduciary, advisory, trustee, or agency relationship between you and Heart.Fi.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
EXCLUSION OF DAMAGES: IN NO EVENT SHALL CRYPTO HEARTS LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages
- Lost profits, revenues, data, or goodwill
- Business interruption damages
- Damages arising from unauthorized access to or use of your account
- Damages arising from the conduct of any third party, including the Custody Partner, any banking partner, any stablecoin issuer, any campaign creator, or any donation recipient
- Damages arising from asset volatility, a stablecoin losing its peg, or loss of funds
AGGREGATE LIABILITY CAP: OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO CRYPTO HEARTS LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
BASIS OF THE BARGAIN: THE LIMITATIONS IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE AN ESSENTIAL BASIS OF THE BARGAIN. THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the limitation of implied warranties or the exclusion of certain damages. In those jurisdictions our liability is limited to the maximum extent permitted by law, and nothing in these Terms excludes liability for fraud, for death or personal injury caused by negligence, or for any other liability that cannot lawfully be excluded.
You agree to indemnify, defend, and hold harmless Crypto Hearts LLC, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Platform
- Your violation of these Terms, the Acceptable Use Policy, or the Custody Partner's terms
- Your violation of any applicable law or regulation, including sanctions, anti-money-laundering, charitable solicitation, and tax laws
- Your violation of any third-party rights
- Any campaign you create, including claims by donors or by a named beneficiary
- Your negligence or wilful misconduct
- Any content you submit to the Platform
If you have a complaint about the Platform, contact us at info@heart.fi with "Complaint" in the subject line and a description of the issue, the transactions concerned, and the outcome you are seeking. We will acknowledge your complaint and aim to respond substantively within 15 business days, or tell you why more time is needed.
Complaints that concern custody of funds, a fiat deposit or withdrawal, or an account action taken by our Custody Partner may need to be raised with, or referred to, that partner. We will tell you when that is the case and how to proceed. Raising a complaint does not extend the deadlines in Section 17.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Informal resolution first. Before filing a claim, you agree to contact us at info@heart.fi and attempt to resolve the dispute informally for at least 30 days.
Binding arbitration. If the dispute is not resolved informally, you and Crypto Hearts LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration administered under the rules of a recognized arbitration provider, rather than in court, except that either party may bring an individual claim in small claims court.
CLASS ACTION WAIVER. YOU AND CRYPTO HEARTS LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR PRESIDE OVER ANY FORM OF REPRESENTATIVE PROCEEDING.
JURY TRIAL WAIVER. YOU AND CRYPTO HEARTS LLC WAIVE ANY RIGHT TO A JURY TRIAL.
Time limit. Any claim must be brought within one (1) year after it arises, or it is permanently barred, unless applicable law prohibits a shorter limitation period.
Severability of this section. If the class action waiver is found unenforceable as to a particular claim, that claim shall proceed in court and all other claims remain in arbitration.
Consumers. Nothing in this section deprives you of the protection of mandatory consumer provisions of the law of your country of residence, including any right to bring proceedings in your local courts, where those provisions apply and cannot be waived.
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Where you are a consumer resident outside the United States, this choice of law does not deprive you of the protection of mandatory provisions of the law of your country of residence.
Your right to terminate. You may close your account at any time by contacting us at info@heart.fi. Withdraw your balance before closing. If a balance remains, we will attempt to return it to a bank account or external wallet in your own name, subject to verification and applicable law.
Our right to suspend or terminate. We may suspend, limit, or terminate your account, and instruct the Custody Partner to freeze your balance, immediately and without prior notice, if we reasonably believe:
- You have violated these Terms or the Acceptable Use Policy
- Your account poses a security, fraud, or legal risk
- You have failed or declined identity verification, or provided false information
- You are located in, or acting on behalf of a person in, a sanctioned or unsupported jurisdiction
- We are required to do so by law, legal process, or a direction from the Custody Partner or a regulator
- Continued access would expose us or our partners to legal or regulatory liability
Effect of termination. On termination:
- Your right to access the Platform ceases immediately
- Active campaigns may be delisted and stop accepting funds
- We may delete your account data, subject to legal retention requirements described in the Privacy Policy
- Outstanding fees and amounts owed to us remain due
- Your balance. Where lawful, we will make your remaining balance available for withdrawal to a bank account or external wallet in your own name, subject to identity verification, applicable limits, and any freeze, legal process, or sanctions obligation. Where the law prohibits returning funds to you — for example under a sanctions blocking requirement — funds will be handled as the law requires.
- Sections 11 through 18, and 21, survive termination
We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. For significant changes we will provide additional notice, such as an email or an in-product prompt, before the change takes effect.
Because we record which version of these Terms you accepted, a material change may require you to review and accept the updated Terms before you can continue using affected features. Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms. If you do not agree, you must stop using the Platform, withdraw your balance, and close your account.
Entire agreement. These Terms, together with the Privacy Policy, Acceptable Use Policy, Risk Disclosure Statement, and Cookie Policy, constitute the entire agreement between you and Crypto Hearts LLC regarding the Platform. Your relationship with the Custody Partner is governed additionally by its own terms.
Severability. If any provision is found unenforceable, the remaining provisions continue in full force, and the unenforceable provision will be modified to the minimum extent necessary.
No waiver. Our failure to enforce any right or provision does not constitute a waiver of it.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
Force majeure. We are not liable for delays or failures resulting from causes beyond our reasonable control, including natural disasters, acts of government, sanctions, cyber attacks, banking or payment network outages, blockchain network failures, protocol changes, or third-party service interruptions.
Notices. We may give you notice by email to your registered address or by an in-product message. You must keep your email address current.
Language. These Terms may be made available in other languages for convenience. If there is a conflict, the English version governs.
Headings. Section headings are for convenience only and do not affect interpretation.
